This English translation is provided for convenience. The German version is legally binding (§ 15 para. 5).
(1) These General Terms and Conditions ("Terms") govern all contracts for the use of the "ArenaDirector" software between
SEMSIS Solutions Owner: Christoph Krämer Hundert-Morgen-Straße 58 65451 Kelsterbach, Germany
(the "Provider") and the customer.
(2) Paid plans are offered exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law, special funds under public law, and clubs and educational institutions. Contracts for a paid plan with consumers (§ 13 BGB) are excluded. The Free plan (§ 3 para. 3) is also open to consumers; mandatory consumer protection law remains unaffected. When ordering, the customer confirms that it is not entering into the contract as a consumer. The Provider may request suitable evidence of this, in particular the name of the organization and, where available, a VAT identification number.
(3) Individual agreements, in particular Enterprise contracts and quotes from the Provider, take precedence over these Terms.
(4) Deviating, conflicting or supplementary terms of the customer do not become part of the contract, even if the Provider does not expressly object to them.
(1) The subject of the contract is the provision, limited to the term of the subscription, of the ArenaDirector desktop software for controlling audio, video and LED outputs at live events, in its currently available version, under one of the plans Free, Audio, Club or Pro.
(2) ArenaDirector is standard software. It was developed for the needs of a large number of customers and not specifically for the individual customer.
(3) The software serves exclusively to play back, control and output content that the customer provides itself. It contains no music, videos or other third-party content.
(4) The feature set, the capacity limits of the plans, the number of included device activations and the system requirements are set out in the service description at arenadirector.com and in the product documentation as of the time of the order (the "Service Description").
(5) The software is provided exclusively as object code by download. There is no entitlement to the source code. Printed documentation is not owed; the documentation is provided electronically.
(6) The software is under continuous development. The Provider may change features and the user interface, provided this does not materially restrict the contractually agreed feature set of the booked plan. There is no entitlement to specific future features.
(7) Unless agreed separately, the following in particular are not part of the contract:
The Provider performs such services only under a separate contract.
(1) The presentation of the plans on the website is not a binding offer. A contract for a paid plan is concluded when the customer completes the order in the customer portal and the Provider accepts it. Acceptance takes place by activating the plan or by confirmation in text form.
(2) For the first order of a paid plan, the Provider grants a free 30-day trial. The trial is granted only once per customer; changing plans during the trial does not extend it. If the customer does not cancel before the end of the trial, fees become due from the end of the trial. If the customer has not provided a payment method by the end of the trial, the contract ends when the trial expires, without the need for termination.
(3) The Free plan may be used free of charge and without time limit, without a contract for a paid plan. There is no entitlement to the continued existence of the Free plan or to a specific feature set. The Provider may change the feature set of the Free plan at any time and may discontinue the Free plan; it announces a discontinuation at least four weeks in advance on the website or in the software. Configurations created by the customer remain on its devices even then.
(1) A customer account is required for paid plans. The Provider's contractual partner is the organization set up in the customer account (e.g. a club, company or venue), not the individual person acting.
(2) The customer may invite further persons as members of its organization and assign roles to them. The roles determine which actions a member can perform in the customer portal; details are set out in the Service Description. Members with the role "Billing" or "Admin" can order, change and cancel plans and change payment details on behalf of the customer. The customer ensures that these persons are authorized to do so; their declarations bind the customer.
(3) The customer is responsible for ensuring that members and all persons operating venue devices (§ 5 para. 4) use the software only in accordance with these Terms. It must keep access credentials confidential and inform the Provider without undue delay if it has indications of misuse of its customer account.
(4) If the customer removes a member from the organization, the devices activated by that member are deactivated.
(1) For the term of the subscription, the Provider grants the customer the simple (non-exclusive), non-transferable and non-sublicensable right to use the software as intended within the scope of the booked plan and the Service Description. For the Free plan, this applies for as long as the Free plan is used.
(2) The customer, its members and the persons operating venue devices for it are entitled to use the software, in each case only for the customer's purposes. The software may only be used for events that the customer holds itself; these include events of its own teams, departments and venues. Use for third-party events, in particular as a service provider (e.g. an event or media agency, or an announcer or DJ for other organizers), is not permitted under the plans in § 2 para. 1 and requires a separate individual contract with the Provider.
(3) The license is device-bound. The software may be activated at the same time on no more devices than the booked plan, including additionally booked devices, covers. A "device" is a single computer on which the software is installed and activated. Activation takes place over the internet; a device identifier is generated in the process.
(4) The customer can link computers at its venue to its organization without a personal sign-in ("venue devices"). Venue devices count toward the booked device allowance like any other device.
(5) The customer can deactivate devices in the customer portal at any time and use the freed activation for another device, for example after replacing hardware. Reactivation is free of charge. The Provider may limit the number of device changes where necessary to prevent circumvention of the device allowance.
(6) The customer may reproduce the software only to the extent necessary for its intended use. This includes installation on the licensed devices and copies for backup purposes as part of proper data backup (§ 9 para. 2).
(7) The customer may not pass on, rent out, lend or publicly provide the software or make it available to third parties for use, unless para. 2 permits otherwise. It may not modify the software, translate it into another form of code, decompile it or otherwise reconstruct its source code, unless §§ 69d, 69e of the German Copyright Act (UrhG) mandatorily permit this. The customer may not circumvent technical protection measures, in particular the license check.
(8) Any use beyond these Terms and the Service Description requires the Provider's prior consent in text form.
(9) The software contains open-source components. Their own license terms, which can be viewed in the software via the Help menu, take precedence for these components. Para. 7 does not restrict the rights granted under those licenses.
(10) All rights to the software, in particular copyrights and trademark rights, remain with the Provider or its licensors, unless granted under this section.
(11) The software contains the NDI® runtime library of Vizrt NDI AB. The terms in Annex 1 additionally apply to it. NDI® is a registered trademark of Vizrt NDI AB.
(1) The customer is solely responsible for obtaining all rights of use, public performance, broadcasting and related rights required for any content it plays or transmits with the software, in particular music, videos, images, logos, sponsor and advertising material, and live and input signals.
(2) The customer bears all license fees and royalties for such content, in particular those owed to collecting societies such as GEMA and GVL or comparable organizations abroad, and to rights holders. They are not covered by the fees for the software.
(3) The customer indemnifies the Provider against third-party claims asserted against the Provider for infringement of their rights by the content the customer uses with the software, including the reasonable costs of legal defense. This does not apply where the customer is not responsible for the infringement.
(1) The prices shown in the customer portal at the time of the order apply, in the currency displayed there. All prices are net prices plus statutory VAT where applicable. For customers based in another EU member state who provide a valid VAT identification number, invoicing follows the reverse-charge procedure.
(2) Depending on the chosen billing interval, fees are due monthly or annually in advance, for the first time at the end of the trial or, if no trial is granted, upon conclusion of the contract. Payment is made through the payment service provider used by the Provider, with the payment methods offered there. Invoices are provided electronically.
(3) The Provider may change the prices of running subscriptions with effect from the start of a new billing period. It announces the change in text form at least six weeks in advance and points out the customer's right to terminate. The customer may terminate the contract with effect from that date until the change takes effect.
(4) Plan-gated features are activated for the billing period that has been paid. If payment for a new billing period fails, the Provider informs the customer and retries the payment; the activation is extended only once payment is received. Software that is already running continues to work until the end of the offline grace period under § 9 para. 1. If the customer is in default of payment, the statutory provisions otherwise apply, in particular § 288 paras. 2 and 5 BGB. The claim to payment remains unaffected.
(5) The customer may only set off claims that are undisputed, acknowledged by the Provider or established by final judgment, or that are closely and reciprocally connected with the Provider's claim. The customer may exercise a right of retention only insofar as its counterclaim arises from the same contractual relationship.
(1) The subscription runs for an indefinite period and renews by the chosen billing interval (month or year) each time. The customer may cancel it at any time effective at the end of the current billing period, in particular in the customer portal.
(2) The Provider may terminate the subscription with three months' notice to the end of a billing period.
(3) If the customer changes to a higher plan, the change takes effect immediately; the price difference for the remainder of the current billing period is charged pro rata. If the customer changes to a lower plan or reduces the number of additional devices, the change takes effect at the end of the current billing period. If the number of activated devices then exceeds the new device allowance, the customer must deactivate the excess devices; new activations are possible again only within the device allowance.
(4) The customer can add additional devices during the term; they are charged pro rata for the remainder of the current billing period.
(5) Fees already paid are not refunded pro rata upon termination or a change to a lower plan, unless mandatory statutory provisions provide otherwise.
(6) The right of both parties to extraordinary termination for good cause remains unaffected. Good cause for the Provider exists in particular if the customer seriously breaches § 5, for example by circumventing the license check or making the software available to third parties without authorization, and does not remedy the breach within a reasonable period after a warning. No warning is required if it would be futile or if immediate termination is justified for special reasons.
(7) When a paid plan ends, the rights of use under § 5 for that plan expire; the plan-gated features are no longer available. Use under the Free plan remains possible. Configurations created by the customer remain on its devices and become usable again when the plan is booked again.
(1) ArenaDirector is locally installed desktop software. After activation, no permanent internet connection is required for operation. If the license server cannot be reached, the software keeps running without restriction during an offline grace period of seven days from the last successful license check.
(2) The customer ensures proper data backup. This includes regular backups of its project, configuration and media data in a way that allows prompt restoration after data loss or hardware failure.
(3) Before every event, the customer ensures that the computer in use has been connected to the internet and the license has been checked successfully, so that the grace period under para. 1 covers the entire event. It uses the software on systems that meet the system requirements of the Service Description.
(4) During the term, the Provider makes updates available insofar as this is necessary to maintain contractual usability or to remedy defects; otherwise at its own discretion. Warranty and support each apply to the current version of the software. The customer is obliged to install updates that remedy defects within a reasonable period, insofar as this can reasonably be expected of it.
(5) The Provider endeavors to keep the license server and the customer portal highly available but does not owe any particular availability. The license server being unreachable within the grace period does not affect use of the software.
(6) Support is provided exclusively by email to contact@arenadirector.com, in German and English. No particular response time is owed unless stated otherwise in the booked plan. On-site support and support during events are not owed (§ 2 para. 7).
(1) For defects of the software during the term of a paid plan, the statutory provisions on rental agreements (§§ 535 et seq. BGB) apply, unless otherwise provided below.
(2) A defect exists if, when used as intended on a system that meets the system requirements, the software deviates from the Service Description in a way that eliminates its suitability for contractual use or reduces it more than insignificantly. Statements in the Service Description describe properties and are not guarantees; a guarantee requires an express declaration in text form.
(3) The customer must report defects in text form without undue delay after discovering them and provide all information known to it that is useful for remedying the defect, in particular a description of the error, the circumstances in which it occurs and, where available, log files or screenshots. It supports the Provider to a reasonable extent in narrowing down the defect.
(4) The Provider remedies defects, at its option, by providing an update or by giving instructions for working around the defect, insofar as this can reasonably be expected of the customer.
(5) There are no claims insofar as the defect results from the customer modifying the software or using it in an environment that does not meet the system requirements or together with unsupported hardware or software, unless the customer proves that this did not cause the defect.
(6) The Provider's no-fault liability under § 536a para. 1 alt. 1 BGB for defects that already existed when the contract was concluded is excluded.
(7) The customer's right to reduce the fee and to terminate under § 543 para. 2 sentence 1 no. 1 BGB remains unaffected. A reduction by deduction from the fee is limited to defects that are undisputed or established by final judgment; otherwise the customer may reclaim any overpaid fee.
(8) Under the Free plan, the Provider is liable for defects only if it fraudulently concealed them (§ 600 BGB).
(1) The Provider is liable without limitation for intent and gross negligence, for damages arising from injury to life, body or health, in the case of a guarantee given, and under the German Product Liability Act.
(2) In cases of slight negligence, the Provider is liable only for the breach of essential contractual obligations. Essential contractual obligations are those whose fulfillment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely. In this case, liability is limited to the foreseeable damage typical for this type of contract, and to no more than EUR 25,000 per damage event and EUR 50,000 for all damage events within one contract year.
(3) The customer uses the software at events under its own operational responsibility. It safeguards its event as appropriate to its use case, in particular by testing configuration, hardware and media before live use, by the data backup under § 9 para. 2, by the timely license check under § 9 para. 3, and by keeping a fallback (e.g. a replacement device or manual playback) in case of a malfunction.
(4) For loss of data, the Provider is liable only for the effort that would have been required to restore the data had the customer backed it up properly.
(5) The Provider is not liable for costs the customer incurs through using the software, such as for an internet connection, hardware or rights to content (§ 6), unless they result from a breach of duty by the Provider.
(6) The customer's claims for damages and reimbursement of expenses due to defects become time-barred one year after the customer became aware of the defect or would have become aware of it but for gross negligence. This does not apply in the cases of para. 1 or where a defect was fraudulently concealed.
(7) For free-of-charge use under the Free plan, the Provider, notwithstanding para. 2, is liable only for intent and gross negligence, for fraudulent concealment of a defect, and for damages arising from injury to life, body or health.
(8) The above limitations of liability also apply in favor of the Provider's employees, representatives and vicarious agents.
(1) If a third party claims against the customer that the contractual use of the software infringes its intellectual property rights, the customer informs the Provider without undue delay in text form. It leaves the defense against the claims to the Provider or conducts it only in agreement with the Provider; it does not acknowledge claims without the Provider's consent.
(2) The Provider may, at its option, modify the software so that it no longer infringes the rights without materially impairing the contractual feature set, or obtain for the customer the right to continue using it. If this is not possible on reasonable terms, either party may terminate the contract; fees paid in advance for the period after termination are refunded.
(3) The Provider indemnifies the customer against justified claims of the third party and the necessary costs of legal defense, provided the customer has fulfilled its obligations under para. 1. Otherwise, § 11 applies.
(4) The customer has no claims insofar as it is itself responsible for the infringement, in particular through modifying the software, through use contrary to the contract or through the content it uses (§ 6).
(1) The Provider processes personal data of the customer and its members as controller in order to perform the contract. Details are set out in the Privacy Policy.
(2) The software processes project and media data exclusively locally on the customer's devices; they are not transmitted to the Provider.
(1) The Provider may change these Terms for running contracts with effect for the future insofar as this is necessary due to changes in the law, case law or market conditions, or to adapt to technical developments or new features, and does not unreasonably disadvantage the customer. Changes to the main performance obligations and to prices are excluded from this; § 7 para. 3 applies to prices.
(2) The Provider gives notice of changes in text form at least six weeks before they take effect. The customer may terminate the contract with effect from that date until the changes take effect. The Provider points out the right to terminate in the notice.
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and the conflict-of-law rules of private international law.
(2) The place of performance is the Provider's registered office.
(3) If the customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising from or in connection with this contract is the Provider's registered office. The Provider may also sue the customer at the customer's general place of jurisdiction.
(4) Declarations under these Terms may be made in text form (e.g. email), unless expressly provided otherwise.
(5) These Terms are provided in German and English. In the event of discrepancies, the German version prevails.
(6) Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory provision.
(1) The software contains program libraries from the NDI® Software Development Kit of Vizrt NDI AB (the "NDI Components"). In addition to these Terms, the following terms apply to the NDI Components. Where they are stricter than § 5, they take precedence.
(2) The customer may not modify the NDI Components or create derivative works of them.
(3) The customer may not reverse engineer, disassemble or recompile the NDI Components or the protocols they use, whether transmitted over a network or used on the device, and may not attempt to do so. Mandatory rights under §§ 69d, 69e UrhG remain unaffected.
(4) The customer may not circumvent technical limitations of the NDI Components.
(5) The customer may not remove, obscure or alter proprietary, copyright or trademark notices in or on the NDI Components.
(6) Vizrt NDI AB and its licensors give the customer no warranty for the NDI Components. To the extent permitted by law, they are not liable to the customer for any direct, indirect, incidental or consequential damages arising from the use of the software or the NDI Components. The Provider's warranty and liability under §§ 10 and 11 remain unaffected.
(7) When using the software, the customer complies with applicable export control and sanctions laws, in particular those of the United States of America, and does not export the software or any part of it in violation of these laws.
(8) The software does not entitle the customer to develop its own products using the NDI Components. Anyone who wants to develop NDI-compatible products needs their own license from Vizrt NDI AB.
